2.2 Guest Checkout and Transaction Security
Beat purchases and licensing transactions on the Platform may be completed through checkout functionality provided directly by Company or through integrated or embedded third-party e-commerce, licensing, and payment service providers. You agree to provide accurate, current, and complete contact and billing information during the checkout process. You are solely responsible for safeguarding the digital download links, contract PDFs, and audio files delivered to you following checkout. You accept sole responsibility for all transactions executed using your payment details or email address. You agree to notify Company immediately at info@madscientificproductions.com upon becoming aware of any unauthorized use of your payment details or transaction references.

All prices displayed on the Platform are listed in United States Dollars ($ USD) unless otherwise specified. Company reserves the right to adjust pricing for any instrumental, beat, stem pack, or license tier at any time without prior notice. - c. You shall be liable to Company for liquidated damages in the amount of $250.00 USD (minimum) per fraudulent chargeback, plus all actual costs, attorney’s fees, and administrative expenses incurred by Company in defending and recovering such disputed funds.
3. BEAT LICENSING FRAMEWORK AND ORDER OF PRECEDENCE
3.1 Beat Licensing Overview
The Platform operates as an online marketplace for original sound recordings and underlying musical compositions (collectively referred to as “Instrumentals” or “Beats”).
When you purchase an Instrumental through the Platform, you are purchasing a limited, non-transferable license to use the Instrumental in accordance with the specific license tier selected (e.g., Basic Non-Exclusive, Unlimited Non-Exclusive, Premium Unlimited Non Exclusive or Exclusive).
ALL PURCHASES COMPLETED THROUGH THE PLATFORM GRANT A LICENSE ONLY AND DO NOT TRANSFER TITLE, PROPRIETARY INTEREST, OR COPYRIGHT OWNERSHIP OF THE INSTRUMENTAL TO YOU, UNLESS A SEPARATE WRITTEN ASSIGNMENT AGREEMENT EXPRESSLY CONVEYING COPYRIGHT OWNERSHIP IS FULLY EXECUTED BY AN AUTHORIZED REPRESENTATIVE OF COMPANY.
3.2 Integration with License Agreements
Prior to, upon, or immediately following completion of an instrumental license on the Platform (including, without limitation, checking an online assent box, completing payment authorization, or accessing digital file downloads), a separate, binding legal agreement corresponding strictly to your selected license tier (e.g., Non-Exclusive Basic License Agreement, Unlimited License Agreement, Premium Unlimited License Agreement, Exclusive License Agreement, or Synchronization License Agreement) is formed between you and Omniforge Holdings LLC d/b/a Mad Scientific Productions, acting as the authorized commercial administrator for Mad Scientific Publishing Company LLC (“Copyright Owner”). The applicable License Agreement, together with these Terms, governs your legal rights, quantitative usage metrics, ownership boundaries, and operational restrictions regarding the purchased Instrumental.
3.3 Order of Precedence
In the event of a direct and irreconcilable conflict between the general terms contained in these Website Terms and Conditions and the specific terms of an executed Beat License Agreement between you and Company regarding licensing rights, permitted distribution limits, royalties, or ownership, the terms of the executed Beat License Agreement shall control and govern as to that specific Instrumental. For all general website use, platform security, disclaimers, liability limits, and general platform disputes, these Website Terms and Conditions shall govern.
4. INTELLECTUAL PROPERTY AND OWNERSHIP RIGHTS
4.1 Website Assets and Catalog Ownership
The Platform, including its “look and feel,” source code, databases, software, website designs, audio players, metadata, graphic elements, text, images, logos, trademarks, and service marks (collectively, the “Company Content”), are owned by or licensed to Omniforge Holdings LLC d/b/a Mad Scientific Productions. Except with respect to any third-party elements incorporated therein, all right, title, and interest owned or controlled by Company in the original Instrumentals, sound recordings, musical compositions, audio previews, and stems hosted on or distributed through the Platform are owned by Mad Scientific Publishing Company LLC and administered under an exclusive intercompany agreement by Omniforge Holdings LLC d/b/a Mad Scientific Productions. All such assets are protected by United States copyright, trademark, and trade secret laws, as well as applicable international intellectual property treaties.
4.2 Strict Reservation of Rights
Except as expressly provided in these Terms or in a fully executed Beat License Agreement, no part of the Platform or Company Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without Company’s prior written permission. All rights not expressly granted to you are reserved by Company.
4.3 Prohibition of Stream Ripping and Audio Extraction
You are permitted to stream audio previews on the Platform solely for evaluation purposes prior to purchase. You strictly agree not to use any stream-ripping software, audio capture tools, browser extensions, recording utilities, screen recorders, or automated extraction tools to capture, download, record, or rip any audio previews, unpurchased beats, or stems from the Platform. Any unauthorized extraction or downloading of unpurchased audio constitutes willful copyright infringement under federal law.
5. ADVANCED AI, MACHINE LEARNING AND WEB3 RESTRICTIONS
5.1 Ban on AI Training and Dataset Extraction
You expressly agree that you shall not use, nor permit any third party to use, any Instrumental, audio preview, master sound recording, underlying musical composition, stem, audio file, metadata, or text available on or downloaded from the Platform (collectively, “Company Audio Data”) for the purpose of training, fine-tuning, developing, testing, or validating any artificial intelligence (AI) model, machine learning algorithm, deep learning neural network, generative audio platform, voice synthesizer, or sound design software.
5.2 Prohibition of AI-Derived Assets
You are strictly prohibited from using Company Audio Data to extract, construct, or train dataset models designed to synthesize, clone, or generate derivative musical works, beat patterns, instrument voicings, or arrangements. Any attempt to use Company Audio Data for machine learning dataset inclusion without an explicit, separate written data-mining agreement signed by an authorized manager of Omniforge Holdings LLC d/b/a Mad Scientific Productions is strictly prohibited and constitutes a material breach of this Agreement.
5.3 Web3, NFT, and Blockchain Restrictions
You shall not mint, tokenize, convert, incorporate, upload, or offer for sale any Instrumental, stem, derivative work, metadata, or artwork associated with Omniforge Holdings LLC d/b/a Mad Scientific Productions as, or into, a Non-Fungible Token (NFT), digital collectible, smart contract, crypto asset, or decentralized Web3 platform, without the prior, explicit, written agreement of Company.
6. USER CONDUCT AND PROHIBITED USES
6.1 Platform Integrity and Security Rules
You agree that you will not engage in any activity that interferes with, disrupts, or compromises the security and operational integrity of the Platform. Specifically, you agree not to:
- a. Access or attempt to access non-public areas of the Platform, computer systems, or server infrastructure.
- b. Circumvent, disable, or tamper with security-related features, digital rights management (DRM) technologies, or audio watermarking embedded in sound files.
- c. Introduce malware, viruses, worms, Trojan horses, logic bombs, or other harmful computer code.
- d. Use automated web scrapers, bots, spiders, or data-mining tools to harvest content, user data, or audio files from the Platform.
- e. Reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform.
6.2 Prohibited Content and Brand Association
You agree that you shall not incorporate any Instrumental purchased from Company into any new song, derivative work, audio-visual presentation, or project that promotes or contains:
- a. Unauthorized third-party intellectual property, trademarks, or copyrighted materials added or incorporated by User, except as otherwise expressly addressed under Section 7.2 with respect to Third-Party Elements incorporated into an Instrumental by Company.
6.3 Anti-Resale and Sublicensing Ban
Under no circumstances may you resell, sublicense, lease, lend, share, upload, or distribute raw, standalone Instrumentals, stem files, or preview tracks obtained from the Platform to any third party, beat store, music library, or file-sharing site, whether for profit or non-profit, without substantial original vocal additions forming a new “Derivative Work” as authorized by a valid license agreement.
7. CONTENT ID, DIGITAL FINGERPRINTING AND SAMPLE RISK ALLOCATION
7.1 YouTube and Meta Content ID Restrictions.
If you purchase a Non-Exclusive License (Basic, Unlimited ,or Premium Unlimited), you understand and agree that you SHALL NOT register the final Derivative Work (your song containing Company’s Beat) with any automatic digital fingerprinting system, audio identification service, or Content ID system (including, but not limited to, YouTube Content ID, Identifyy, TuneCore Content ID, Audiam, or Meta Rights Manager). Registering non-exclusive beats with digital fingerprinting networks causes false automated copyright strikes against other legitimate non-exclusive licensees and is strictly prohibited. You shall be liable for all administrative costs and damages resulting from unauthorized Content ID registration.
7.2 SAMPLE DISCLOSURE, DISCRETION, AND ALLOCATION OF RISK
(A) THIRD-PARTY ELEMENTS DISCLOSURE: USER ACKNOWLEDGES AND AGREES THAT INSTRUMENTALS CREATED, HOSTED, OR DELIVERED BY COMPANY MAY CONTAIN OR INCORPORATE THIRD-PARTY AUDIO SAMPLES, LOOPS, SOUND EFFECTS, SOUND DESIGN ELEMENTS, OR INTERPOLATIONS (“THIRD-PARTY ELEMENTS”).
(B) “AS IS” GRANT AND NO CLEARANCE REPRESENTATION: COMPANY LICENSES AND PROVIDES ALL THIRD-PARTY ELEMENTS ON AN “AS IS” BASIS. COMPANY MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE, EXPRESS OR IMPLIED, THAT ANY THIRD-PARTY ELEMENTS EMBEDDED IN INSTRUMENTALS HAVE BEEN CLEARED, LICENSED, OR APPROVED FOR USER’S PARTICULAR COMMERCIAL EXPLOITATION, DISTRIBUTION, OR PUBLIC PERFORMANCE.
(C) USER DISCRETION AND RESPONSIBILITY: USER SHALL BE SOLELY RESPONSIBLE FOR EVALUATING, DETERMINING, SECURING, AND PAYING FOR ANY THIRD-PARTY CLEARANCES, PERMISSIONS, SAMPLE BUYOUTS, MASTER USE LICENSES, OR PUBLISHING ALLOCATIONS REQUIRED FOR USER’S INTENDED USE. THE DECISION TO COMMERCIALLY EXPLOIT, DISTRIBUTE, STREAM, OR RELEASE A DERIVATIVE WORK WITH OR WITHOUT THIRD-PARTY CLEARANCE RESTS ENTIRELY WITHIN USER’S SOLE DISCRETION AND AT USER’S SOLE FINANCIAL AND LEGAL RISK.
(D) NON-TERMINATION AND RISK ASSUMPTION: THE CHOICE BY USER TO RELEASE OR EXPLOIT A SONG CONTAINING COMPANY’S INSTRUMENTAL WITHOUT OBTAINING THIRD-PARTY CLEARANCES SHALL NOT CONSTITUTE A DEFAULT OR BREACH OF THESE TERMS OF USE, NOR SHALL IT AUTOMATICALLY VOID, TERMINATE, OR REVOKE THE LICENSING RIGHTS GRANTED TO USER. HOWEVER, IF USER EXPLOITS A DERIVATIVE WORK CONTAINING UNCLEARED THIRD-PARTY ELEMENTS, USER SHALL ASSUME FULL AND TOTAL FINANCIAL AND LEGAL RESPONSIBILITY FOR ALL RESULTING CONSEQUENCES, INCLUDING WITHOUT LIMITATION COPYRIGHT INFRINGEMENT CLAIMS, DMCA TAKEDOWNS, STREAM REMOVALS, STATUTORY DAMAGES, SETTLEMENTS, AND LEGAL FEES, AND COMPANY SHALL BE FULLY INDEMNIFIED PURSUANT TO SECTION 10.2.
